Terms & Conditions
The general terms that apply to a project or support agreement with us. The specific quote you receive may add to or clarify certain points — in which case the quote takes precedence.

The parties
These terms apply between you or your company ("the client") and Cortix Web (CVR 41 20 88 67), hereinafter "Cortix Web" or "we".
Quote and agreement
A project always starts with a concrete quote describing scope, deliverables, timeline and price. The agreement is entered into once the client accepts the quote in writing — for example by email.
Changes in scope along the way (new pages, features or revision rounds beyond what was agreed) are handled as amendments to the agreement and may affect price and timeline.
Prices and payment
Prices are stated excluding VAT unless otherwise noted. One-off projects are typically invoiced with a deposit at the start and the remainder on delivery; the specific quote sets out the split. Ongoing support and operations agreements are invoiced in advance, normally monthly.
The payment term is 8 days from the invoice date unless otherwise agreed. In the event of late payment, interest is calculated in accordance with the Danish Interest Act, and we may pause work until overdue amounts have been paid.
The client's involvement
A project can only keep to the agreed timeline if the client provides the necessary content, materials, access and feedback on time. Delays on the client's part may push back the delivery date accordingly.
Delivery and approval
We deliver the agreed work for review, and the client has 10 working days to provide comments within the agreed scope, unless otherwise stated in the quote. If no comments are received within the deadline, the deliverable is considered approved.
Rights
Once the project has been paid in full, the right to use the specifically developed design and code transfers to the client. Underlying tools, frameworks and components that Cortix Web uses across projects remain our property and may be reused in other contexts.
We may reference and showcase the project in our portfolio and marketing, unless otherwise agreed in writing.
Support after launch
After launch, we fix errors caused by our own work free of charge for a period of 30 days. New requests, changes, or errors caused by changes made by parties other than us are not included and are handled as a new task or under an ongoing support agreement.
Ongoing support agreements
Support and operations agreements run until terminated by either party with the notice period stated in the agreement — by default, the current month plus 30 days. Termination must be made in writing.
Liability
We strive for high-quality craftsmanship and timely delivery, but are not liable for indirect losses, including loss of operation or loss of profit. Our total liability in connection with an agreement cannot exceed the amount the client has paid for the service in question.
The client is solely responsible for the legality of the content, materials and text supplied for use in the project.
Force majeure
Neither party is liable for delays or non-performance caused by circumstances beyond reasonable control, including failures at subcontractors, power outages or other extraordinary circumstances.
Confidentiality
Both parties treat information about each other's business as confidential and will not disclose it to third parties without consent, unless required by law.
Governing law and disputes
The agreement is governed by Danish law. Any dispute that cannot be resolved through dialogue shall be settled by the Danish courts.
